Please take notice that the Annual Meeting of the Membership of the Elk Run Property Owners Association, Inc. will be held at Wyndham Pagosa on August 5, 2017 at 11:00 a.m. MT, for the following purpose(s):
1. Electing the Board of Directors; and
2. Approve the Amendment to the Bylaws of the Association; and
3. Transacting such business as may come before the meeting.
Provided with this Notice of Annual Meeting are the proposed Agenda, a Proxy, the Bylaws Amendment and the biographies received from the nominees for the open Board position(s).
At this year's Annual Meeting, we are presenting an Amendment to the Bylaws. This Amendment is to replace Section 4.1 Annual Association Meetings, which changes the meeting date to the first Friday in May or such other date as the Board may determine from time to time.
Your participation, in person or by Proxy, is critical to ensure that the Association obtains the required quorum of 20% and is able to conduct business at the Annual Meeting. Therefore, you are urged to promptly complete the Proxy. Should you have any questions about this notice, please contact Resort Management at 970-731-8042. Please note that your Proxy must be received no later than 5:00p.m. MT on August 4, 2017 in order for it to be counted. In the event that you are able to attend the Annual Meeting in person, you may, if so desired, revoke any previously submitted Proxy and vote your interest in person.

PRIOR BOARD EXPERIENCE:
Served on the Village Pointe Board of Directors for approximately 12 or more years and currently serving on the Elk Run Board.
WHY I WOULD LIKE TO SERVE ON THE BOARD:
I would be honored to continue my position on the Elk Run Board. We have updated our units and have been able to maintain the second lowest annual maintenance fee here at Pagosa. Our Association has maintained some of the highest RCI ratings and assisted with the entire Resort maintaining its Silver Crown rating. As a current Board member, I find great pleasure serving each owner. I believe we have implemented short and long term plans which will continue to keep this Association financially strong. I look forward to serving on this Board another term.

FIRST AMENDMENT TO THE BYLAWS OF ELK RUN PROPERTY OWNERS ASSOCIATION, INC.
WHEREAS, the Bylaws (the "Bylaws") for Elk Run Property Owners Association, Inc., a Colorado non-profit corporation (the "Association") were recorded in the Archuleta County Recorder's Office on June 26, 1986 at Book N/A, Page 56; and
WHEREAS, the Article II, Section 2 of the Bylaws provides that the Annual Meeting of the Association (the "Annual Meeting") be held on the first Saturday in August of each year; and
WHEREAS, based on feedback from the Members of the Association (the "Members"), the Board of Directors (the "Board") of the Association has determined it to be in the best interest of the Association to amend the Bylaws to allow for the Annual Meeting of the Members to be held on a date as determined by the Board; and
WHEREAS, Article VII, Section 3 of the Bylaws provides that the Bylaws may be amended by the votes of two-thirds (2/3) of the votes cast at any regular or special meeting of the members; and
WHEREAS, at a duly called and noticed meeting of the members held on __________, 2017, the Members approved the Bylaws be amended in the manner hereinafter set forth.
NOW, THEREFORE, the Bylaws are amended as follows:
1. Article II (The Association), Section 2 (Annual Meetings) is hereby stricken in its entirety and replaced with the following:
Section 4.1 Annual Association Meetings. The Annual Meeting of the Association shall be held on the first Friday in May, or such other date as the Board may determine from time to time.
2. In all other respects, the Bylaws of the Association are hereby ratified and confirmed and, to the extent they are not inconsistent with the terms of this First Amendment, shall remain in full force and effect. In the event of any conflict between the terms of the Bylaws and the terms of this First Amendment, the terms of this First Amendment shall govern and prevail.
